1. Agreement to Terms

These Terms and Conditions (“Terms”) form a legal agreement between you and Eat & Pour (“we,” “us,” “our”) governing your use of eatmagazine.ca (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you don’t agree, please don’t use the Site.

We’re a small, independently run publication. These Terms are written to protect the Site, the people who write for it, and you as a reader, in plain and reasonably readable language — but they still function as a binding legal agreement.

2. Who We Are

Eat & Pour is an independent Canadian food and drink publication run by enthusiasts, not a corporation with a legal or editorial department. We publish recipes, personal essays, producer profiles, and honest opinions about food, drink, and good living across Canada.

3. Content Ownership

Unless otherwise noted, all content on the Site — text, photography, illustrations, and original recipes — is owned by Eat & Pour or used with permission from the original creator, and is protected under the Copyright Act (R.S.C., 1985, c. C-42).

You may read, share links to, and quote brief excerpts of our content for personal, non-commercial, and editorial purposes, provided you credit Eat & Pour and link back to the original page. You may not republish, redistribute, or reproduce substantial portions of our content without our prior written permission.

4. User-Submitted Content

If you submit content to us — a story pitch, a recipe, a comment, a photograph, or anything else — through our “Write for Us” page, a submission form, or by email:

  • You retain ownership of your content, and we will never claim to be its original author.
  • By submitting it, you grant Eat & Pour a non-exclusive, worldwide, royalty-free licence to publish, edit, adapt, and display that content on the Site and in connection with promoting the Site (including social media), for as long as the content remains published.
  • You confirm that the content is your own original work (or that you have permission from the rights holder to submit it), that it doesn’t infringe on anyone else’s copyright or other rights, and that it isn’t defamatory, obscene, or unlawful.
  • We reserve the right to edit submitted content for clarity, length, and house style, and to decline to publish anything, for any reason, without obligation to explain why.
  • We do not pay for unsolicited submissions unless we’ve explicitly agreed to do so in advance, in writing.

5. Acceptable Use

When using the Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the Site or its underlying systems
  • Use automated tools (bots, scrapers) to extract content from the Site without our written permission
  • Post or transmit anything defamatory, harassing, obscene, or otherwise unlawful
  • Impersonate any person or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Site’s functionality or servers

We reserve the right to restrict or terminate access to the Site, at our sole discretion, for anyone who violates these Terms.

6. Third-Party Links and Content

The Site contains links to restaurants, producers, markets, and other external websites. We don’t control those sites and aren’t responsible for their content, accuracy, availability, or privacy practices. Visiting a linked site is entirely at your own risk.

7. No Professional Advice

Nothing on the Site constitutes professional medical, dietary, nutritional, legal, or financial advice. Content reflects personal opinion and experience only. See our full Disclaimer for details.

8. Disclaimer of Warranties

The Site and all content on it are provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, secure, or that any information on it is accurate, complete, or current. Restaurants close, prices change, and producers come and go — we do our best to keep things up to date, but we can’t guarantee it.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Eat & Pour, its writers, and contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Site — including but not limited to a disappointing meal, a bad bottle of wine, a closed restaurant, or reliance on any recipe, recommendation, or opinion published here.

This limitation applies whether the claim is based on contract, tort (including negligence), or any other legal theory, and even if we’ve been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Eat & Pour, its writers, and contributors from any claim, demand, loss, or damage — including reasonable legal fees — arising out of your use of the Site, your violation of these Terms, or your submission of content that infringes on the rights of a third party.

11. Governing Law

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts located in Alberta, Calgary.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13. Changes to the Site or Terms

We may change, suspend, or discontinue any part of the Site, or update these Terms, at any time, at our sole discretion. Material changes to these Terms will be reflected by an updated “Last updated” date. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

14. A Note on the Nature of This Site

Eat & Pour is a small, independently and enthusiast-run publication, not a corporation with a legal department or a long-term institutional roadmap. Ownership of the Site, including its content, brand, and domain, may change in the future — including through a sale to another party — and these Terms will continue to apply, or be updated accordingly, under any new ownership.
